End User License Agreement (EULA) for TMEditX Editor

This End-User License Agreement ("Agreement") is a legal contract between you, the end-user, and the TMurgent Technologies, LLP ("Company"). By installing or using the accompanying software, you agree to be bound by the terms of this Agreement.

1. Grant of License

Standard License: The Company grants you a non-exclusive, non-transferable, perpetual license for the named user to use the software solely for your internal business operations. This license does not include the right to sublicense or distribute the software.  It is allowed to install the software on multiple virtual or physical machines, as long as the software is used by only individuals in possession of a named user license.  Reassignment of a standard license to another user is possible, with written notification to TMurgent, but please note that this is not a "floating license".

Enterprise License: The Company grants you a non-exclusive, non-transferable, perpetual license for all employees of your organization to use the software solely for your internal business operations. This license does not include the right to sublicense or distribute the software.  It is allowed to install the software on as many virtual or physical machines as is required, as long as the software is used by only employees of the organization, including any contractors employed by the organization (i.e. does not include employees of a third-party organization that is a packaging outsourcer).

2. Maintenance and Support

The Company will provide maintenance and support services for the software for a period of one year from the date of purchase. These services include email-based support for issues, and for any software updates and enhancements released while under active maintenance.  Additional annual periods of maintenance and support may be purchased separately when this period expires.  Customers requiring a longer commitment on support should contact the company for an option to purchase multiple years of support in advance.

3. Payment

In consideration for the perpetual license granted under this Agreement, you agree to pay the Company the license fee set forth in the order form or invoice related to the software.

4. Intellectual Property Rights

The software is the intellectual property of the Company, and all rights not expressly granted in this Agreement are reserved by the Company.

5. Limitations on Use

You may not modify, reverse engineer, or decompile the software, nor may you remove any proprietary notices or labels on the software.

6. Warranty Disclaimer

The software is provided "as is," and the Company disclaims all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

7. Support

Support for the product is provided via email.  Email support requests to This email address is being protected from spambots. While we strive to provide a response as soon as possible, you should expect a response within 24 to 48 hours.  During the period around the American holidays of Thanksgiving and Christmas to New Years, there may be additional delays in responding. In cases of a software defect or minor enhancement request, this can usually be addressed in our next maintenance release.  In some cases, we may be able to provide a pre-release version that addresses the defect sooner.

8. Maintenance

Maintenance releases occur generally every 1 to 2 months.  Customers under support may upgrade to any version released prior to the end of their support/maintenance period.  The product does not "auto update" but as long as the workstation has internet connectivity, the software provides an indication to the user when a newer version is available.

9. Limitation of Liability

The Company's liability to you for any damages arising out of this Agreement shall not exceed the amount you paid for the software.

10. Termination

This Agreement is effective until terminated. The Company may terminate this Agreement if you fail to comply with any term or condition herein.

11. General

This Agreement constitutes the entire agreement between you and the Company and supersedes all prior agreements regarding the software.

12. Dispute

This Agreement is governed by the laws of the Commonwealth of Massachusetts in The United States of America.
